DWF has guided Wille Finance on its investment in Norell through Codex Capital Partners, showcasing expertise in cross-border transactions
DWF, a leading global provider of integrated legal and business services, has successfully advised Wille Finance on its significant investment in Norell, facilitated by Codex Capital Partners. Wille Finance, a Swiss-based family office, is actively involved in private equity investments covering venture capital, buyouts, real estate, and listed assets. Codex Capital Partners acts as an independent sponsor delivering tailored capital solutions for UK businesses.
Norell operates across the UK, Europe, and North America, offering a synergistic combination of Lifestyle Gift Cards, AnyCard, and Savvy. This integration enhances their capabilities in gift cards, stored-value offerings, and employee rewards. The deal was supported by a dedicated team from DWF, including Dhruv Chhatralia BEM, the corporate partner and head of Venture Capital in the UK, along with Ko Eun Choi, Adrianna Zawilska, James Cashman, and Alex Tolcher from the firm’s tax and corporate teams.
Dhruv Chhatralia BEM remarked, “Wille Finance has a strong track record of backing ambitious businesses and we are very pleased to have supported the team on this investment. Cross-border investments such as this require commercial, responsive advice and close collaboration between advisers and investors, and it was a real pleasure working with the Wille Finance team to bring the transaction to completion.”
Paddy Eaton, head of DWF’s London corporate team, added, “This transaction highlights the breadth of DWF’s corporate offering across private equity, venture and growth capital. Supporting international clients investing into UK businesses is a core strength of our London corporate practice.”
With a robust team of 84 venture capital lawyers spanning nine UK offices, DWF's UK Venture Capital practice has taken on more than 44 venture and growth capital transactions in the financial year 2026, affirming its commitment to providing premier legal guidance in the investment landscape.
