BCLP advises Sephora UK on partnership

BCLP has facilitated a significant retail partnership for Sephora UK with Marks & Spencer across 100 stores
Leading prestige beauty retailer Sephora, part of the LVMH group, is embarking on a notable retail partnership with iconic British retailer Marks & Spencer (M&S). This collaboration involves a phased rollout of in-store concessions at 100 locations throughout the UK, in addition to an online concession seamlessly integrated into M&S’s digital offerings. This strategic move represents a transformative expansion for Sephora’s retail footprint in the UK, significantly enhancing its market presence.
By 2026, Sephora plans to operate 19 standalone stores, and this partnership will also provide M&S with an upgraded beauty range, attracting a broader audience. There has been considerable complexity in structuring this partnership, with both parties engaging in months of intensive negotiations aimed at maximising economic benefits and brand enhancement for both Sephora and M&S.
Agathe Mailfait, Senior Legal Counsel and DPO at Sephora UK, expressed gratitude for BCLP’s involvement, saying “BCLP’s support in negotiating this strategic partnership has been invaluable. Their commercial acumen, deep industry knowledge, and attention to detail throughout the process really made the difference.” The BCLP team, led by Partners Carol Osborne and Richard Shaw along with Associate Krish Raichura from the London Technology, Commercial and Data practice, worked diligently on this agreement, while competition law issues were handled by Partner Christine Graham. M&S received legal counsel from the firm Dentons.
