Manchester-based law firm Glaisyers ETL guides founders in the strategic sale of Gluck Health Limited to Fagron NV

In a significant transaction, Glaisyers ETL, a national law firm headquartered in Manchester, played a pivotal role in advising Dr Marion Gluck and Sam Gluck on the recent sale of the UK's first individually tailored pharmacy, Gluck Health Limited. The undisclosed sum deal saw the pioneering pharmacy being acquired by Fagron NV, a multinational pharmaceuticals group listed on the Euronext exchange in Brussels and Amsterdam.

Key Points:

  1. Specialised Expertise: The Gluck Health Limited portfolio includes London Specialist Pharmacy Limited and Gluck International Limited, home to The Marion Gluck Clinic. The entities specialise in "compounding pharmacy," crafting personalised medications by combining, mixing, or altering active pharmaceutical ingredients tailored to individual patients.
  2. Founder's Legacy: Established in 1996 by Dr Marion Gluck, the London Specialist Pharmacy is renowned for its focus on hormone-related conditions. The pharmacy also produces custom medications for hair loss, dermatological issues, pain relief, and veterinary needs. The Marion Gluck Clinic, a key component, specialises in offering bespoke hormone replacement therapy utilising "bioidentical hormones" to address conditions such as menopause and perimenopause symptoms.
  3. Legal and Regulatory Expertise: Glaisyers ETL's corporate team, led by Daniel Varney, partner, and head of corporate, provided comprehensive legal and regulatory advice to the founders throughout the sale process. The team included corporate associate Niki Polymeridou, solicitor Megan Davies, and managing partner and head of employment Russell Brown.
  4. Sector Experience: Daniel Varney highlighted the transaction's significance in a highly regulated sector, involving a multinational buyer listed on the stock exchange. Glaisyers ETL showcased its extensive experience in the healthcare and biotechnology sectors, ensuring a successful disposal for the clients.
  5. Best Wishes for the Future: Daniel Varney extended his best wishes to Dr Gluck and her family, acknowledging the efforts of the London Specialist Pharmacy and Marion Gluck Clinic teams as they embark on a new chapter post-acquisition.
  6. Global Legal Support: Fagron NV received legal advice from the London office of Morgan Lewis, a global law firm. Financial and tax due diligence support for the buyers was provided by BDO.

The successful completion of this transaction not only reflects Glaisyers ETL's proficiency in navigating complex, regulated sectors but also marks a milestone in the evolution of personalised healthcare on an international scale.
