Freeths advises Freudenberg on key acquisition

Freeths has successfully guided Freudenberg Flow Technologies in acquiring Balmoral Comtec, enhancing its energy sector capabilities
Leading law firm Freeths has recently announced its role in advising Freudenberg Flow Technologies on the acquisition of Balmoral Comtec. As part of the Freudenberg Group, Freudenberg Flow Technologies is renowned for its critical sealing and connector solutions aimed at the energy sector. This significant acquisition not only furthers the group's strategic ambition to strengthen its position in conventional energy markets but also supports the transition towards more sustainable energy solutions by expanding capabilities in sealing systems, buoyancy, and cable protection solutions for a global customer base.
Balmoral Comtec is headquartered in Aberdeen and stands as a prominent supplier of engineered buoyancy, thermal insulation solutions, and cable protection, bringing over 45 years of expertise in the offshore oil, gas, and wind industries. The business operates from three UK locations and delivers projects internationally across regions including Europe, South America, and Asia. The acquisition is expected to enhance Freudenberg’s global business unit focused on connectors and sealing solutions, thereby enriching its product offerings and capacity to deliver integrated, technology-led solutions for the energy sector.
Leading the team at Freeths on this transaction was Corporate Partner Martin Smith from the East Midlands office, alongside Corporate Managing Associate Ewen Lowrie from the Glasgow office. They received substantial support from Corporate Managing Associate Grace Hill and various other specialist practice teams within the firm. Notably, the transaction required the input of the firm’s Competition team, led by Partner and Head of Competition Andrew Maxwell, as well as assistance from Real Estate experts for both Scottish and English aspects, headed by Partner Nick Taylor and Managing Associate Barry Richards respectively.
Commenting on the deal, Martin Smith said: “This transaction is a strong example of the depth and expertise we bring to complex, cross-border energy deals. It also demonstrates the firm’s growing presence in the Scottish legal market. Right from launch, our team worked closely with Freudenberg to navigate the strategic and technical considerations around the acquisition, ensuring a smooth and efficient process throughout. Balmoral Comtec is a highly complementary business, and this deal strengthens our client’s capabilities at a critical time for the energy sector. We’re proud to have supported them on a transaction that reflects both continued investment in core markets as well as a commitment to the energy transition.”
