Browne Jacobson has advised Aliter Capital on a significant investment that will enhance a law firm's growth
Browne Jacobson has played a pivotal role in advising Aliter Capital, the private equity firm, on its latest move aimed at propelling the growth of a regional law firm into a national player. The focus of this investment is Clarkslegal, a Reading-based commercial law firm that has now joined the rapidly expanding Orwins group, which is headquartered in Manchester. This group, previously consisting of BBS Law and Carter Bond, is dedicated to providing a comprehensive range of legal services through a widening network of offices, specifically catering to high-growth, small-to-medium-sized businesses, entrepreneurs, and high-net-worth individuals.
With a new brand identity, Orwins has set ambitious goals and aims to double in size over the next two years, actively pursuing revenues beyond £50 million. This recent transaction marks the latest collaboration between Browne Jacobson and Aliter Capital, following previous investments in BBS Law in October 2024 and Carter Bond in August 2025. Ryan Brown, Corporate Partner at Browne Jacobson, led the team alongside Daniel Knowles and Benedetta Cocconi. Additionally, banking and finance advice was provided by Graham Ball and Beth Nixon, while tax matters were overseen by Craig Thomas.
Ryan stated that “this is another landmark investment for Aliter Capital and the Orwins team and signals its ambitious growth trajectory.” He emphasised the importance of continuity in their advisory role, noting how familiar the team has become with Orwins' strategy and culture. He expressed confidence in Clarkslegal, highlighting its “exceptionally strong firm with a heritage stretching back over a century” and pointing out its robust client base in the Thames Valley.
Clarkslegal is known for its full-service commercial law offerings, which include employment and immigration, commercial litigation, corporate law, and commercial property. The firm employs a team of 40, led by nine partners, serving clients from SMEs to multinational corporations and private clients. Significantly, all nine partners will remain with Clarkslegal as shareholders in Orwins, reflecting a strong cultural alignment following the acquisition.
In his comments, Dov Black, Chief Executive at Orwins, emphasised the cultural match between the firms, stating that “Clarkslegal has an entrepreneurial, client focused ethos very similar to our own and a complementary client base.” He expressed enthusiasm about the new branding, which is viewed as a crucial step for future growth.
Browne Jacobson's track record in supporting private equity-backed investments in the professional services sector is noteworthy. Recent examples include assisting Broadfield Capital during its investment in the accountancy sector and working with a construction law specialist during its investment process with Beyond Law Group. Orwins and Aliter Capital have also partnered with BDO for financial and tax advice, Stand for commercial and brand development, and Equator for technology solutions as they expand their regional presence across the UK.
