Birketts guides Collins Construction's transition

Birketts has assisted Collins Construction in becoming employee-owned, securing its future and maintaining its culture
UK Top 50 law firm Birketts has successfully advised Collins Construction on its recent transition to employee ownership. This significant change comes as the company celebrates an impressive 70 years in operation, solidifying its presence as a leading refurbishment and fit-out company in London and the South East. The seven shareholders of Collins Construction executed the sale of the business to an Employee Ownership Trust (EOT), thereby ensuring the company's long-term independence and establishing a lasting ownership structure that aims to protect the organisation for generations to come.
Established in 1956, Collins Construction has transformed over the last seven decades into a reputable construction business known for delivering high-quality fit-out and refurbishment projects. In consideration of various future ownership options, the shareholders determined that employee ownership was the most effective way to preserve the culture and values that have characterised Collins Construction throughout its history. This decision not only safeguards the firm's independence but also sets a robust foundation for its next developmental phase.
The day-to-day management and operations will remain unchanged, with the existing leadership team continuing to implement the company's established strategy. Birketts played a pivotal role in guiding Collins Construction through the transition to employee ownership, with the corporate team co-led by Partner Ed Savory and Senior Associate Laura Gray. They were ably supported by Freya Palmer, Caroline Geater, Kirsty Scripps in employee incentives, Katy Jarratt-Poole in corporate law, and Rebecca Hughes in employment.
Jason Warren, Managing Director of Collins Construction, expressed his satisfaction with the transition by stating, “Moving to employee ownership is an important milestone for Collins Construction and one that feels particularly fitting as we celebrate our 70th year. We wanted to find an ownership model that would protect our independence and the culture we have built, while creating a strong foundation for the future.”
Laura Gray, Senior Associate at Birketts, added her perspective on the successful transition, saying, “We are delighted to have supported Collins Construction on its transition to employee ownership at such an important point in the company’s history. Over the past 70 years, Collins has established an excellent reputation built on its people, the quality of its work and the strength of its relationships. Moving to employee ownership provides a structure that preserves the company’s independence and values while giving its employees a meaningful stake in its long-term future. We wish Jason, the management team and everyone at Collins every success for this exciting next chapter.”
