The preferable approach may be to leave this concept broadly defined and for a court to determine whether a lessor has acted in a ‘commercially reasonable’ manner on the basis of the facts and evidence before it.
While this lack of definition may not provide greater certainty to market participants, it highlights that the assessment of any assertion of contractual or CTC rights, and the timing and manner of repossession, will turn on the specific facts and circumstances of each case. Equally, defining ‘commercially reasonable’ conduct within the transaction documents may offer clarity, but it also has the potential to constrain the range of responses available to a party following an ‘as is, where is’ rejection.
